Terms and Conditions

1. Introduction

NAKLO is a global circular economy platform that connects buyers, suppliers, collectors, logistics partners and warehouse partners for buying, selling, donating, requesting, moving, storing and tracing approved reusable and recyclable materials.

By accessing or using the Platform, you agree to these Terms and Conditions and to the policies incorporated by reference below. If you do not agree, you must not use the Platform.

2. Policies Incorporated by Reference

These Terms operate together with the NAKLO Privacy Policy, Acceptable Use Policy, Buyer & Seller Policy, Dispute Resolution & Escrow Policy, and Logistics & Warehouse Partner Policy. If there is a conflict, the policy that deals most specifically with the issue applies, except where these Terms expressly override it.

4. Eligibility and Account Responsibility

Individuals must be at least 20 years old to use NAKLO. Companies, NGOs, cooperatives, collectors, logistics providers and warehouse operators must have authority to register and use the Platform.

Users must provide accurate information, keep account details current and protect login credentials. NAKLO may request identity, business, tax, license, environmental, insurance or operational documents before allowing sensitive actions.

5. Platform Role and Assisted Operations

NAKLO is a technology and coordination platform. The Buyer buys with NAKLO through an assisted process, while the Seller remains the party supplying or making the material available unless otherwise agreed in writing.

NAKLO may validate listings, coordinate requests, support logistics, involve warehouse partners, track payment stages, assist communication, mediate disputes and record operational milestones. This does not automatically make NAKLO the owner, transporter, warehouse operator or legal producer of the material.

6. Materials, Listings and Requests

Users may list, sell, donate or request approved recyclable, reusable or circular economy materials, including plastics, paper and cardboard, metals, glass, electronics, organic materials, wood, used oil, batteries where legally authorized and other materials permitted by applicable law.

Sellers and collectors must provide truthful information about material category, quantity, quality, contamination, cleanliness, packaging, location, photos, videos, documentation, minimum order and price or donation status.

Buyers may request specific materials. NAKLO may prioritize proximity, match compatible materials, combine suppliers and recommend warehouse aggregation where a single supplier cannot cover the requested volume.

Listing, selling, requesting and transaction access may be limited by the User's active Subscription Plan. Free accounts may list approved materials but cannot request materials. Pro and Enterprise accounts may sell and request materials subject to their plan limits.

7. Prohibited and Restricted Materials

Users may not list, request, sell, donate, store or transport hazardous, illegal, stolen, counterfeit, radioactive, infectious, explosive or suspicious materials through NAKLO. Restricted materials such as lead-acid batteries, chemicals, medical waste or regulated industrial materials may only be handled where the User proves legal authorization.

NAKLO may remove listings, freeze operational steps, cancel transactions, suspend accounts or report suspected illegal activity to competent authorities.

8. Pricing, Donations and Commissions

Sellers determine the material price unless a specific assisted negotiation or quotation is agreed through NAKLO. Donations have no material purchase price, but may still generate logistics, storage, verification, handling or platform service fees.

Subscription Plans determine platform commission and commercial limits. Free accounts pay 0 USD per month or year and an 8% commission on applicable sale transactions, with a maximum of 5 active listings and 2,000 USD monthly transaction volume. Pro accounts pay 49 USD per month or 490 USD per year, have 0% NAKLO platform commission, up to 25 active listings and up to 10,000 USD monthly transaction volume. Enterprise accounts pay 199 USD per month or 1,990 USD per year, have 0% NAKLO platform commission, unlimited listings and unlimited monthly transaction volume subject to compliance and operational review.

Pro and Enterprise accounts may receive plan badges, higher visibility, improved support and additional reports. NAKLO may calculate logistics coordination, storage, verification, compliance-documentation or other operational fees where relevant.

NAKLO may automatically enforce plan limits. If a User reaches the active listing limit, monthly volume limit, request limit or another plan restriction, NAKLO may block new listings, material requests, assisted purchases, order confirmation or other actions until the User upgrades, renews or resolves the restriction.

9. Payments and Escrow

The Buyer pays NAKLO or an authorized payment partner, funds are held or controlled under the applicable secure payment process, delivery and inspection occur, and funds are released according to the transaction outcome.

NAKLO may hold, pause or prevent release of funds while reviewing fraud, delivery problems, material mismatch, documentation issues or disputes.

Subscription fees, plan upgrades and billing events may be handled through NAKLO's available payment gateway, assisted billing process, bank transfer, invoice or another approved payment method. Monthly Pro and Enterprise plans may start with a promotional 3-month trial. Annual billing equals 10 monthly payments for 12 months of access and cannot be combined with the monthly trial.

All transaction communication, payment instructions, buyer-supplier coordination, dispute evidence and operational confirmations must remain inside the NAKLO Communication Channel unless NAKLO expressly authorizes a different process.

10. Logistics, Warehousing and Aggregation

NAKLO may coordinate logistics and warehouse support through independent partners. Partners are responsible for their own licenses, personnel, equipment, insurance, safety practices and legal obligations.

Where NAKLO aggregates materials from several suppliers or collectors, materials may be directed to a partner warehouse for consolidation, verification or staged delivery. Users must follow the operational instructions provided for the transaction.

11. Verification, Compliance and Records

NAKLO may request evidence including identity documents, company registration, tax IDs, business licenses, environmental permits, certificates, photos, videos, transport records, warehouse records, delivery confirmations and payment evidence.

NAKLO may keep records of listings, requests, orders, payments, subscriptions, invoices, commissions, plan limits, delivery milestones, communications and disputes for compliance, fraud prevention, service improvement and legal purposes.

12. Suspension, Cancellation and Enforcement

NAKLO may remove content, reject listings, cancel transactions, restrict accounts, suspend users, terminate accounts, pause escrow release or report matters to authorities if a User violates these Terms or any incorporated policy.

13. Liability

To the maximum extent permitted by law, NAKLO does not guarantee material quality, quantity, market value, user conduct, transport performance, warehouse performance or regulatory approvals. NAKLO will use reasonable efforts to support assisted operations but cannot eliminate operational risk.

Nothing in these Terms excludes liability that cannot be excluded by law.

14. Governing Law

These Terms are governed by the laws of England and Wales. Unresolved legal disputes are subject to the competent courts of England and Wales.
